For those of you who can't get enough of the Google/YouTube Acqusition, the U.S. Securities and Exchange Co pumission has just published the official notice of the acquisition in what is called an 8-K Form

According to the documentt the deal will officially close in Q4 of this year.

What the posting actually says is that Google will merge a newly formed company called Snowmass Holdings into YouTube, and that YouTube will then survive as a wholly owned subsidiary of Google.
Other than being a place in Colorado, I wonder what the significance of Snowmass is?
I'm sure there is a reason for this method – it's interesting to note that Picasa exists as a separate subsidiary company of Google, whereas many of the other acquisitions have simply been absorbed almost without trace into the main Google company. |
As a seperate entity – the corporation negates litigation risk.. that means that "Snowmass Holdings,Inc" can only be sued so much only!!
