Please tell me how and from where i can download the Googletalk in Win 98 OS??????

There's no gTalk for Win98 (nor Linux or Mac)... you should try downloading other clients that support the Jabber protocol (http://www.google.com/talk/otherclients.html) or using gTalk from the GMail integrated interface.
