When I get new mail, the standard notifier pops up, just like i want..but the GTalk word balloon icon in systray also then shows a red M...indicating I have mail. But I have 'disable all notifications' checked.

why is this?

I guess that's because it's not strictly classed as a notification. Notifications are the popups that appear in the corner of your screen.
